1. The Parties
This agreement is between [Your Name / NextLevGrowth] ("Editor") and [Client Name] ("Client"), collectively referred to as "the Parties."
2. Purpose
The Client wishes to share raw video footage, scripts, brand assets, and other proprietary information (the "Confidential Information") for the purpose of video editing services. The Editor agrees to protect this information as outlined below.
3. Confidential Information
"Confidential Information" includes, but is not limited to:
- Raw video/audio recordings
- Brand guidelines, logos, and marketing plans
- Scripts, storyboards, and creative concepts
- Client lists, pricing structures, and business strategies
4. Obligations of the Editor
The Editor agrees to:
- Use Confidential Information solely for the agreed editing project.
- Not disclose, share, or publish any Confidential Information without the Client's prior written consent.
- Delete or return all Confidential Information upon the Client's request, within 14 days.
- Use industry‑standard security measures to protect the data (e.g., encrypted storage, limited access).
5. Exclusions
Confidential Information does not include information that:
- Is already publicly known through no fault of the Editor.
- Was rightfully obtained from a third party without restriction.
- Is independently developed by the Editor without reference to the Confidential Information.
6. Term
This agreement remains in effect for [2 years] from the date of signing, or until the project is completed and the Confidential Information is returned/destroyed, whichever is later.
7. Governing Law
This agreement shall be governed by the laws of [Your State/Country].
